Companies with a net worth of ₹500 crore or more, turnover of ₹1,000 crore or more,
or net profit of ₹5 crore or more during the previous financial year are required
to comply with CSR provisions under Section 135 of the Companies Act, 2013.
Non-compliance may result in fines for the company (ranging from ₹50,000 to ₹25 lakh)
and penalties for officers in default (from ₹50,000 to ₹5 lakh). It can also lead to
reputational damage and increased MCA scrutiny.
Schedule VII defines the categories of activities that qualify as
CSR — such as education, healthcare, environment, rural development,
and more. Projects outside this list do not count as CSR for compliance purposes.
Form CSR-2 is an MCA-mandated annual return where companies disclose their
CSR spending, project details, and outcomes. Filing CSR-2 is mandatory for
compliance and non-filing can result in penalties.
NGOs must be registered with the MCA and have a valid CSR-1 certificate.
